ISERVE.AFRICA APPLICATIONS END-USER LICENSE AGREEMENT OS TECH PTY LTD (A SUBSIDIARY OF OS HOLDINGS PTY LTD)
By downloading, installing, copying, or otherwise accessing or using the Iserve.africa software and any related updates or media, You agree to be bound by this End-User License Agreement (“EULA”). If You do not accept the terms of this EULA, do not download, install, or use the Software.
1. General
This EULA is a legal agreement between You (either an individual or a single entity) and OS TECH PTY LTD (“Iserve.africa”) for the use of the Iserve.africa software, including but not limited to its components, media, printed materials, online or electronic documentation, license keys, updates, and supplements.
2. License Grant
OS TECH PTY LTD grants You a non-exclusive, non-transferable, non-sublicensable right to use the Software in object code form only, subject to the terms of this EULA.
3. Ownership
All intellectual property rights, title, and interest in the Software, including enhancements or modifications developed by OS TECH PTY LTD, remain solely with OS TECH PTY LTD. You will not acquire any ownership rights in the Software
4. License Restrictions
You may not: • Modify, reverse engineer, decompile, or disassemble the Software • Lease, sublicense, or rent the Software • Use it for commercial IT services, hosting, or timesharing • Use it in any manner contrary to OS TECH PTY LTD's acceptable use policies • Conduct benchmark tests without notifying OS TECH PTY LTD You must immediately report unauthorized use to OS TECH PTY LTD.
5. Term
The license is perpetual unless terminated. You may terminate by cancelling license payments or destroying all copies of the Software. OS TECH PTY LTD may terminate the license if You breach any EULA terms.
6. Consent to Use of Data
You agree that OS TECH PTY LTD may collect technical data to improve services, verify compliance, and provide support. This data will not personally identify You.
Software Maintenance
1. OS TECH PTY LTD may provide updates, patches, and basic technical support at its discretion. These are covered under this EULA. 2. You are responsible for ensuring compatibility of any external software required for updates. 3. If support is provided, You are responsible for backup, data security, and following OS TECH PTY LTD’s instructions when reporting issues. 8. Disclaimer of Warranties THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. OS TECH PTY LTD DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You assume all risks related to quality and performance. 9. Limitation of Liability To the maximum extent permitted by law, OS TECH PTY LTD shall not be liable for any direct, indirect, special, incidental, or consequential damages, including loss of data, profits, or goodwill. 10. Export Restrictions You agree not to export or re-export the Software in violation of South African or other applicable laws, including regulations on embargoed countries or restricted end-users. 11. Excluded Services This EULA does not govern your use of other services (such as cloud or professional services) purchased from OS TECH PTY LTD. Such services are governed under separate agreements. 12. Miscellaneous 1. Severability – If any term is held invalid, the remainder of the EULA remains in effect. 2. Monitoring – OS TECH PTY LTD may audit Your use of the Software. 3. Governing Law – This EULA is governed by the laws of your download location (e.g., South Africa, Botswana, Zambia). The UN Convention on Contracts for the International Sale of Goods does not apply. 4. Entire Agreement – This EULA constitutes the entire agreement between You and OS TECH PTY LTD. 5. Assignment – You may not assign this license; OS TECH PTY LTD may assign it under specified corporate transitions. 6. Force Majeure – Neither party shall be liable for delays due to events beyond their control. 7. Survival – Sections that by nature should survive termination (e.g. Ownership, Warranty Disclaimer, Limitation of Liability) will continue to apply. 8. Marketing – You consent to OS TECH PTY LTD referencing your organization’s name and logo for promotional purposes.
